Yes, I mean to install NT BDC on the new server. It would be best to post
in the Exchange newsgroup to get more help on the Exchange part.

As for step 5, generally speaking, after the upgrade completes, the server
will restart, and then the Active Directory Installation Wizard will start
automatically. If this is not the case, since the machine is only a member
server after you upgrade the new PDC to win2k3, we have to use dcpromo to
promote it to be a DC.
