Migration from NT 4.0 to W2K3

Hello,
The game plan:
1- Migrate NT 4.0 to a parallel installation on a separate servers running
a new install of Windows 2003.
Q- Is ADMT the only tool for this?
2- Once the AD is in place, proceed with an upgrade of Exchange 5.5 to
Exchange 2003.
Q- ADMT or ADC for the above?
If have been searching for some solid install instructions. The majority of
findings are based on an in place upgrade. Thanks in advance.
