Migration to WIN 2003 SBS Premier Edition

Currently I have a Win2K domain that consists of a DC which does DHCP, DNS,
WINS and MS Exchange 2K duties for about 30 client machines (XP, 2K & NT4).
Additionally we have a member server that does file and MS SQL services for
our custom medical application.
We just bought a new multi-processor super server that we want to handle the
duties of both machines that has MS 2003 SBS Premier Edition loaded.
My problem is how to port all the users and data over to the new machine
since I understand it has to be the DC and can't join the existing domain
which is also our ".com" name on the Internet? One solution that was
suggested was to name the new domain something a little different with a
".local" suffix and then migrate all the users, machines, and mailboxes
over. How then are we going to get our email which is going to be addressed
to the old domain name? Also we can't really afford to stop operations on
the old domain which runs 24X7 while the transition is in process except
possibly part of a Sunday.
What is the best way to get this task accomplished.
