I am not quite sure about your question.
Do you mean that you want to migrate from win2k to win2k3? Migration means
you now have 2 different domains, one is win2k and the other is win2k3. You
migrate users, groups and computers from the win2k domain to win2k3, which
is sure to change the domain name, as the win2k3 domain has a different
name with the win2k domain.
Or do you mean to do an upgrade from your existing win2k domain to win2k3
domain? In this way, the domain is the same, and thus you have to change
the domain name if you like.
I assume that you want to do a "not in place" upgrade. In the meantime, you
prefer to change the domain name. If I have misunderstood your meaning,
please let me know.
A "not in place" upgrade means you use a new win2k3 computer to gain the
win2k3 domain. You extend the domain schema, promote the win2k3 computer to
be an additional DC, and then hold the GC and FSMO to demote the original
win2k DCs. These win2k DCs can be demoted to have a clean install of win2k3.
If this is the case, you can upgrade from win2k to win2k3 domain and change
the domain name by using the steps below:

However, please know that renaming a domain name could be a complicated
task and has many requirements, for example the forest functionality level
must be raised to Windows Server 2003, and the task cannot be performed if
the domain includes an Exchange deployment.
How many clients are there in your network? If it is necessary to change
the domain name and the network environment is complicated, you may
consider creating a new win2k3 domain with the name you desire and use
migration process (with ADMT) to migrate all information from win2k to
win2k3 domain.
