Change/merge domains without rename?

I need to merge 3 legacy domains (3 sites, 30 PCs ea) into
1, using a new name for the final domain. 2 are W2K3 with
Exchg 2K3, 1 is NT4 + Exchg 5.5. I am trying to avoid
doing domain rename due to Exchg.

What are the best options? I have a spare (non-Exchg)
server at 2 of the sites. Do I build a new root on a spare
and then just "move" every other server & AD to this new
domain? What client problems will I then have? I will chk
Exchg moving with that forum.
