Is there a keyboard connected to this server or is it running "headless"?
If running headless, there is a registry entry to make to inform the system
you are running headless.
Our experience was we received a service or device was unable to start popup
on our new generation HP Proliants, we found the i8042prt couldn't start
because we were running a headless server. Plugged in a keyboard and mouse
and no more error. Found the headless registry entry, entered it, removed
KB and mouse, no more errors. I don't know the registry entry off the top
of my head as I'm writing this during my commute in to work. However, if
you send me an email, I can send you the info, or you can google search for
it.
Hope this helps.

Installed SP2.
After the first reboot immidiately after the installation (and every other
reboot after that) the system hangs at the moment the the Windows2003 logo
shows , the square box underneath it shows but is still empty (the box
with
the sliding sqaures that shows the busy state), so the squares are not
visible in it yet. When I wanted to reboot the system by pressing the
power button,
the system continued the moment I pressed the button for a moment. This
is
now at each reboot, the system stops at the logo screen, I press the
button
quickly and the system continues.
The event log (application) shows these events (never seen before the SP2
install) immidiately after the first
boot of SP2 (and only after the first boot, not after consecutive reboots)
it may well be related:
