Depending on your reason for upgrading, I would suggest waiting for the
next server version, otherwise you will find yourself trying to upgrade
again within the next year or so.

The new version currently "Longhorn" Server is due the second half of
2007, but I would expect it early 2008. Windows Vista is slated for
November 2007, but I think that has been pushed back a few times so
sometime 2007 I would say.

If you are trying to upgrade just because you want the latest and
greatest then I would suggest waiting, but if it is a architectual
reason why you need to upgrade and can't wait, then "yes" you will need
25 CAL's for per seat licensing, unless you choose to go with per server
licensing which means only a specified number of systems/devices can
connect to the server at the same time...example if you purchase 10
licenses then only 10 machines can connect to the server at the same
time. I would avoid per server licensing because this is not a
scalable solution, but it is ultimately your decision and it may work
in your favor since you stated most systems do not log in.
