Server Gray screen but Pingable

I am trying to figure out a major problem with a few of our servers that are
getting stuck at a gray screen, but still show on our network. This
basically causes our monitoring software to not see the outage and none of
our customer applications run due to the server being "off in the weeds".
Two of our servers are win2k3 Enterprise and one is win2k Advanced sp4.
They run SQL , Mcafee, and Veritas netbackup 4.5fp6. We have captured a few
manual memory dumps when this occurs and sent them off to microsoft for
evalation. They have stated that the VSP.sys needs disabled (netbackup file)
and we have done this but still having the unresponsive server issue. We
have also received an updated filter driver from Mcafee without luck eitehr.
I have looked all around the net without anyone having the same issue.
Hoping someone may have some insight ...
