It sounds like you want to add a new domain controller with the new
hardware. You can add a windows 2003 domain controller to a Windows 2000 AD
domain. Run adprep/forestprep and adpep/domainprep first. Install W2k3 on
the new box, and run dcpromo. Join the existing forest/domain. The move all
5 fsmo roles to the new domain (see my blog) and run dcpromo on the W2k DC
to demote it and remove it from the domain. Then do your Exchange piece like
you planned.
Note: Its always a good idea to have more than one DC for redundancy. Keep
that in mind.
