Leave the 456.domain.com zone on the Win2k3 server, then on it DNS server on
the Forwarders tab, add a conditional forwarder for 123.domain.com with the
Win2k address. then set the 456.domain.com zone to allow zone transfers to
the Win2k address.
Then go to the Win2k DNS and create a Secondary zone for the 456.domain.com
zone.

This way both DNS servers can resolve both domains. If both were Win2k3 DNS
servers no secondary zone would be needed.
