NETLOGON SERVICE STOPPED EVERYTIME I RESTART THE SERVER

    Folks,
    I have a real problem
    windows2003 server (PDC) and exchange 2003on the same box
    new installation first as a member then prmoted and
    exchange is new.

    clients (98, ME) can not logon, clients XP they logon to
    the domain but no access to the shared drives on the
    server, Actullay they can not even browse" SERVER IS
    INACCESSABLE.

    outlook clients put username, domain and password) (NO
    credintial.

    OWA even locally on the server "access denied"

    AND THE NETLOGON SERVICE STOPPED EVERYTIME I RESTART THE
    SERVER)
     
    MICROSOFT SPENT WITH THEM MORE THAN 10 HOURS ON THE
    PHONE, NOTHING'S WORK.
    PLease help me what can i do?
