I would definitely consider the following items:
Plan to split the AD Domain Controller role / function off of the SQL Server
role
Purchase new hardware to establish a new cluster (should you choose) and go
with Windows Server 2003 (R2 if available when you act)
Move / migrate the database to the new cluster
Move / migrate the file share(s) to the new cluster
Once everything is off of the existing server, you could then rebuild this
server as W2K3, running AD
While this isn't intended as a comprehensive step-by-step list, this will
give you some things to consider...
