You have run adprep run on 2000 because we are going to modify the schema
which will fit for 2003 environment.
First run adprep/ forestprep
Then adprep/ domainprep
It will not ask for restart.

Its because the difference in schema of 2000 and 2003 in your forest.
In my environment also i faced the same problem.
To trouble shoot it you have run Adprep.
