Do you have an exchange server in the domain, if yes which version?

I am getting same error as when trying to add member server as
additional
dc.
Error as follows >
The operation failed because: The Active Directory Installation Wizard
was unable to convert the computer account SIP-DC$ to a domain
controller account. "Access is denied."
I see following events under "Directory Service" event tab >
1168,1137,1153 & 103 .
