Additional Domain controller on Windows 64 Bit

My setup is as follows
Single Domain Controller and Active directory DNS running on Windows 2003
Standard R2 - 32 Bit
Exchange 2003 running on Windows 2003 R2 - 32 Bit Member server
Now I would like to setup an additional domain controller on a server
running Windows 2003 R2 Standard - 64 Bit
Eventually I would like to have my domain controller running on 64 Bit
windows (once this is done I'll transfer all the roles to additional dc
running on 64 bit in order to remove the existing 32bit DC from network.
Perhaps once my 64 Bit windows server becomes a fully functional domain
controller I will go ahead and setup additional domain controller on a
another 64 bit server)
Is there any complication involved doing so and what are all the things we
need to consider before going for this task. Will there be any issue in
exchange server after doing this task?
I would like to know the steps if any critical steps involved?
