Consider adding a Win 2k3 server to your domain as a member server, then
running dcpromo to make it a DC.

Consider moving everything except Exchange to the Win 2k3 server and
upgrading the Win 2k server to Win 2k3.

You've just upgraded your Win 2k domain to Win 2k3, freed up more resources
on a machine the can use as much resources as you can throw at it
(Exchange), and in the process added redundancy to a domain that previously
had a single point of failure.

(notice you haven't had to touch Exchange)

FYI, one of the first things you should do to a Win 2k domain with Exchange
2000 on it, before you move to Win 2k3 you have to upgrade Exchange 2000 to
Exchange 2003, then upgrade to Win 2k3, your there already.

Thanks so much for your assistance. The w2000 server is our only server as
we are small company with only 15 clients. So the w2000 server is
everything
(so to speak). It also runs Exchange 2003, SQL Server 2000 + Symantec
Enterprise Security + a few other bits and bobs. This is why we are
upgrading
to something a bit meatier!

I guess Exchange 2003 is an issue for another group....

Three things I would make sure of before removing the Win 2k server. Did
the
Win 2k server hold the FSMO roles? If so move them

I am replacing a Windows 2000 PDC with a Windows 2003 PDC. Am i right

thinking i first ADPREP my w2000 server, backup my w2000 AD and then
restore
it onto the w2003 server? One problem is that I have Exchange Server

the w2000 server and there seem to be scary problems with this and
adprep.
Or
are these all fixed now?

I am thinking of replicating the w2000 server to a virtual PC and
then
doing
tests on that first combind with a virtual PC w2003. Is this
worthwhile
or
just a waste of time?

I am sure this is a really simple question for those who deal with
this
every day!
