Thanks for your replies and help. This is my home environment but i do host
my web sites off of this machine which I guess makes it a psuedo production
machine. I figure since I spent the money to buy 64 bit machines I might as
well make use of the hardware. I want to upgrade the server first then the
workstation second.
The workstation I'm not as concerned about because i can just install WinXp
x64 as a clean install and then reinstall all of my apps but the DC is a
different story and I want to retain all of those settings.

If this is in a production setting I wouldn't. I'm not sure if you can run.
server inside of a workstation, I'm not up on VS, but if you can it would
work. I just wouldn;t risk my production in this type of setting. Is there
a reason you need 64 bit?

My other machine is running WinXp what if I ran a virtual server on that
machine. I could run Win2003 inside of that VM and make it the DC
temporarily
while I upgraded the physical machine, what do you think?

Yeah as the others have said this is not something you can upgrade on a
current machine. You will have to bring up a second server and then down
the first and then re-install.
I have a article on decomminssion a dc to help you along.
