Eric,
I am using the administrator account of the domain on the original server.
The account is a member of the Domain Admins account.
I have joined the new box to the domain and the domain admin account has
local admin privileges.
The primary dns server is pointing to the DC.
Still stuck.
As I mentioned we are a small organisation and are upgrading in stages. we
probably wont upgrade to 2003 server for another wee while.

What administrator account are you using?
- Local Administrator account on the box to be promoted
- Built-in administrator account from the domain
- Self created account which has been assigned administrative privileges in
the domain
Make sure the account you are using is a member of the Administrators and
the Domain Admins group in your domain.
Also, if the box has not yet been joined to the domain, make sure that the
account you used to logon to the box has local admin privileges (member of
the local administrator group). You might want to join the computer to the
domain first.
Another important aspect is DNS resolution. make sure that the primary DNS
server of the computer is pointing to the correct DNS server for your domain
(usually the DC)
Out of curiosity, why are you installing Windows 2000? Windows Server 2003
has so many improvements over Windows 2000 that it is definitely worth the
upgrade. Also, consider the impending retirement of the Microsoft Windows
2000 family of products

this and retire the old server, the software will not allow our

account to create an additional domain controller. It states the account
