well, yes

if you want a w2k3 DC...
* update the schema first
* install a w2k3 dc
* make it a GC
* transfer the FSMO roles
* if DNS is AD integrated it will replicate with AD replication
* configure WINS and make both replication partners of each other
* for DHCP -->MS-KBQ325473_How to move a DHCP database from a computer that
is running Windows NT Server 4.0, Windows 2000, or Windows Server 2003 to a
computer that is running Windows Server 2003
* as soon as everything is "moved"
* configure DHCP to point clients to the new DC for DNS/WINS
* configure all servers to point to the new DC for DNS/WINS
* shutdown the OLD DC and see if something goes wrong
* if something goes wrong, resolve it
* when nothing goes wrong anymore:
**demote the DC to a member server and remove from the domain
** break the WINS replication partnership

not sure if I forgot anything or not, so make sure you test first

I have one W2K AD server on my network, which also runs DNS, DHCP and WINS.
