First. R2 is simply Windows Server 2003 with SP1 built-in and some additional option packs that were added on. When you upgrade with CD2 to R2, you don't change any core binaries.

Second, As long as you are tracking your total licenses, there should not be an issue with what machines are running R2 as long as the counts are correct with the actual licenses.

You only need R2 Licenses for the R2 machines. You don't need to have an R2 License for every DC in your forest unless every DC in your forest is an R2 DC.

Does this require me to purchase a new/upgrade license?
To upgrade on R2, you must be have a regular R2 new/License.
