I ran recreateDefPol.exe on the Windows 2000 Server to resolve missing Group
Policy error discovered in MS 232070 and it let me successfully DCPromo the
Windows 2003 into AD.

once again thanks for the responses and i did get it up and running with the
R2 adprep. I had used the adprepforest and domain prep from the i386
directory and got positive results.. passed all tests but then failed on
DCPROMO so who knows. tried the trust for delegation but that didnt work so i
took it out of the domain gave it a new name and it worked straight away.. my
second 2003 R2 dc was installed in the new domain in about 15 minutes total..

Little did i know that on the secon disk of R2 is its very own version of
ADPREP.. copied that to the 2k server and ran forestprep again and got a
positive answer back..dcpromo go's a little futher now but now gives me
''The
operation failed because: The Active Directory Installation Wizard was
unable
to convert the computer account NYSERV2$ to a domain controller account.
"Access is denied." so i will start troubleshooting that one now

Run adprep for w2k3. It's separate to adpresp for exchange and further
extends the schema and prepares the forest/domains for w2k3 Dcs.
