adprep fails with error 52



I am attempting to promote a Win2003 server to DC on a network that has a
Win2000 DC now (Exchange 2000 is also installed on this same Win2000
server/DC). It is a small office domain with only one DC. The goal is to
replace the current server with the Win2003 server. dcpromo failed because i
had not prepped the Win2000 domain for Win2003 AD. The error pointed me to
adprep, so I ran adprep /forestPrep on the Win2000 DC. adprep fails with
this message:

ERROR: Failed to transfer the schema FSMO role: 52 (Unavailable). If the
error code is "Insufficient Rights", make sure you are logged in as a member
of the schema admin group. Adprep was unable to upgrade the schema on the
schema master.

I'm stuck as to what to do next. Your suggestion? I'm in a pickle because
I'm on site for only a couple days to get this working. Thanks for any help
