It's pretty straight forward , what You have to do is: - prepare Your domain to incorporate windows 2003 DC http://www.petri.co.il/windows_2003_adprep.htm
- You are using Exchange 2000 so You have to apply this fix http://www.petri.co.il/windows_2003_adprep_fix_for_e2k.htm
Before joining Exchange 2003 to domain You have to prepare the domain for Ex2003 with /forestpre and /domainprep. Then You have to move your mailbox but thi can be done with ADU&C.
If You want to remove old servers You have to remove old exchange server http://support.microsoft.com/default.aspx?scid=kb;en-us;307917
And move FSMO roles from old server to new one: http://support.microsoft.com/kb/255504
