You have to do adprep before You will do dcpromo on Your first 2003 DC. You will also have to do adprep with version from Exchange 2003 before introducing Exchange 2003 in Your environment.

Because You are running Exchange 2000 You will need to apply small fix after doing adprep for your DC:
