Windows 2000 DC's bringing in 2003 DC's

I have a Windows 2000 network. Location 1 has 2 w2k dc's and exchange 2000,
this is the primary site for exchange and the operations master is here.
Location 2 also has 2 w2k dc's and exchange 2000, communicate through a vpn.
We want to migrate to Windows 2003 and Exchange 2003. I have installed 2 new
servers in location 1 as members servers. I ran forestprep and domainprep and
installed exchange 2003 on the new win03 member server and joined it to the
exchange 2000 org. All is good here, able to move mailboxes, no problems.
I am trying to promote the new exchange 2003 server to a dc but it comes
back saying that the forest is not preped. Im confused as I had to perform
the preps to install exchange 2003 in a mixed enviroment.
I really dont want to upgrade the current exchange 2000 to 2003, or the
server to windows 2003. I desire to move all mailboxes out and then demote
the server. Eliminate it totaly.
But I cant do this until I can get a 2003 dc in the mix so that I can start
moving roles.
Any help or suggestions would be much appreciated.
ohh, location 2 will be an in place upgrade of both exchange and windows.
but location 1 dictates everything.
