As Gary stated, check DNS:

nslookup -type=srv _ldap._tcp.dc._msdcs.domain-name.com from the server that
can't be promoted.

Also, when you upgraded the PDC did you set the NT4Emulator registry key?
If so, you will either need to remove it and reboot or add the
NeutralizeNT4Emulator registry key to this server that you are trying to
promote.
