I'd go with the second option. Ensure first your 2003 DC is also a GC.
Next, dcpromo the 2K server down, wait up to one hour for these changes to
replicate in AD (gives plenty of time) and then run DCdiag on the 2003 DC
and look for any errors (fail, err, warn). If none, then install a clean
build of 2003 on the old 2K DC, ensure it points to a DNS server supporting
your AD, and dcpromo it up to DC. And make it also a GC. Run DCdiag on
either DC and look for any errors (fail, err, warn). Check the DS and FRS
event logs as a secondary check of the health of your AD.
