Win2k3 upgrade with Exchange 2k problems

4 servers involved,
I have 2 x Win2k sp4 DC's,
1 x Win2k sp4 w/Exchange 2K sp3, and
1 x Win2k sp4 w/SQL 2k.
I am planning to upgrade 1 DC to Win2k3 and upgrade the AD as well.
The rest at a later date.
My issue is this... I want to do a clean install on one of the Win2k DC
servers.
Taking Exchange 2K into consideration,
Do I ....
1. demote the 1 DC
2. reformat and install a clean Win2k3 OS
3. perform adprep /forestprep and adprep /domainprep from Win2k3 i386
4. promote to DC
5. install DNS, DHCP,
???
How will this affect the second DC that is still Win2K AD?
How will this affect my Exchange 2K server?
I found the below article that states there may be problems with Windows
2003 forest preparation with Exchange 2K involved.

I can test everything in my test domain except the effects on the Exchange
server.
Any help or guidance is alway appreciated.
