Sounds reasonable, I can't see a reason why it wouldn't work. SUS
clients connect with anonymous HTTP, you'll have to configure them with
a GPO in your Win2K domain to point to this server and make sure if you
use an FQDN that your DNS resolves it to the SUS server's IP address. Or
use directly an IP address in the GP setting to avoid any problems.

You'll have to promote the machine to DC to keep it from restarting,
though. You don't need to reinstall,just run 'dcpromo' on it, install a
separate DNS locally to keep this domain completely isolated from the
production. It'll just be a sole DC in an obsolete domain but it won't
do any harm. Anyway, if you're not planning on using SBS then a better
option would be buying Standard, you'll find a lot of "limitations" in
the SBS version which will prevent you from fully utilizing your
investment. Though if you already bought it I doubt it that you can
return it ;)
