No, it won't help you a bit right now. Once Vista ships (with both 32 and 64-bit versions in the same box), then going to 64 bit _might_ help with encoding, depending on whether the encoder software is 64-bit aware. However, you might be able to spend the same amount of money and get a dual-core CPU that might help your encoding by offloading it to one CPU while the other does other things. Unfortunately, I don't know of a single encoder yet that takes advantage of dual core or 64-bit CPUs.

....which is a real shame since 1) multi-core machines are becoming
"standard", and 2) video encoding is an "embarassingly parallel"
problem which can take advantage of arbitrary parallelism with
only trivial effort on the programmer's part.

I cite this fact as an example of what inefficient consumers we are,
in that we do not demand higher performance encoding. Competition
only works for consumers when they define the criteria.

Industry publications and reviews do not feature relative performance
as a critical attribute of video encoders, so they do not effectively
compete on performance.

Hi i do alot of encoding and am about to get a MCE 2005.....will i benefit my
getting a system that has 64 bit ability?

Depends entirely on the hardware. If you have an early 64-bit Itanium, then
probably No. If you have an Athlon-64, you should be fine as long as you
have at least 1Gb of ram...

Siince there is no 64 bit version of MCE 2005, you're correct. You
would lose that functionality. Wait for Vista. MCE will release in
both the 32 and 64 bit versions.

Of course, the odds are rather small that a 5-year-old computer (by the
time it is released) will be able to run Vista adequately.
