media center 2005 blue screening on clean install

hi i am having problems doing a clean install of windows media center 2005.
im doing a cold boot from the first cd and it begins loading the drivers
from the cd, it then gets to the part where it says "starting windows" at
this point i quickly see it attempt to mount the ide driver and then it blue
screens with the following message:-
STOP 0x0000008E (0xC0000006, 0x808C8C90, 0xF7399A10, 0x00000000)
i have looked up the first part of the stop message and it seems to relate
to memory issues, so i ran memtest from a floppy disk and let it do 10
passes for about 4 hours and nothing, no errors, no warnings, nothing!!, it
all went through ok.
if i do a install of windows xp pro with sp2 the install seems to go fine,
with no blue screening and no error messages, so i think this rules out any
hardware issues?.
could the fact that i had windows xp on the hard drive originally be
throwing the install of media center out?, or perhaps the fact that its a
gigabyte motherboard that isnt in the compatibility list be causing
problems?, any suggestions most gratefully recieved as im begining to give
up.
