Steve,
Same OE message this morning. I checked the Task Mgr last
night after closing OE and MSIMN.EXE was not active, nor
was anything else running.

When you close OE, do a CTRL-SHIFT-ESC and check the processes and see if
MSIMN.EXE is still active. It shouldn't be.

Thanks Steve. If I had had anti-virus scanning of
I/O email, I would have shut that off before
posting my question, as your reference well points
out that the message store can get clobbered
rather easily by anti-virus software.
I do use a desktop shortcut to:
%windir%\System32\SHUTDOWN.exe -s -t 00
to close up shop for the day, so I'll try using the standard
Windows process via START -> Turn off computer,
etc. and see if the problem goes away.
I can't think of any 3rd party software that could be
interferring with OE shutting down.

Any explanation as to why I'm greeted each morning
with "Outlook Express did not shut down properly"?
I always close OE before shutting down the computer
for the night, either via "Close" in the task-bar or by
clicking on "X".
