Hi,
I like Frank's suggestion
"Don't delete any cookies from MSN, Microsoft or Passport."

Other thoughts...
It sounds like a program associated with MSN or Passport is loading at
startup and wants to look for updates or connect for some other reason.
Something like MSN Messenger, the MSN Toolbar, Microsoft Money.

Look through MSCONFIG> Startup
or Start> Run> MSINFO32> Software Environment> Startup
Unknown items can be researched via google or another search engine.

Also, maybe, Internet Options> Connections, try another option under
* Never dial a connection
* Dial whenever a network connection is not present
* Always dial my default connection
