First of all, you should try to find out, which policies are causing your trouble. If you are running windows server 2003 than start rsop.msc on it an take a look on the report. Than you should see the relevant policy. Try to deactivate the policy (you can delete it later) with the GPMC.
BTW the default domain policy and the default domain controllers policy can be redone with either dcgpofix on w2k3 or with recreatedefpol on w2k. (http://www.microsoft.com/downloads/details.aspx?FamilyID=b5b685ae-b7dd-4bb5-ab2a-976d6873129d&DisplayLang=en) You have to run exchange setup with /domainprep after you recreate your default policies or your exchangeserver will stop working.
