I have Windows XP SP2 computer that has Simple File Sharing turned on in a
Windows 2003 domain (very small domain in my house) and I don't experience
this problem. I can Offer Remote Assistance successfully to that computer.

I'll check some other computers (XP SP1) at work tomorrow (Windows 2000
Domain), but I don't recall that having Simple File Sharing turned on caused
a problem for Offer Remote Assistance either.

Are you sure that the user offering assistance is in the set of "Helpers" in
the Offer Remote Assistance GP setting?

Also, if you have a firewall (e.g. XP SP2 Windows Firewall) on the XP
computer, you have to add some exceptions for Offer Remote Assistance to
work; see http://support.microsoft.com/default.aspx?scid=kb;en-us;555179.
