Once you have taken ownership of the doc (created in W2k) in XP, you should
be able ot open the file directly in XP without getting the error.

Or am I misunderstanding the question here...?

i dont know why the folders are not accessible. originally i had a
tower
PC
with this drive as backup. I was running win2k pro. i'm pretty sure
