First try the System File Checker. At the Run prompt, enter: sfc /scannow
SFC will compare each WinXP operating system file with the "known good" copy
held in your on-disk cache and replace any missing or damaged ones. Have
your WinXP CD-ROM handy; SFC probably will need to see that.
There was a new version of ntfs.sys (574,592 bytes, dated 08/04/04) in WinXP
SP2. If you have not yet installed SP2, a visit to Windows Update might get
the new ntfs.sys, plus all the other very important updates included in SP2.
You should have SP2 installed, in any case.
You said, "I am told the cd is an older version of windows", but you didn't
tell us what version of WinXP you are running, or what version is on the CD
you are trying to use.
Your last option (short of a full reinstall) might be the in-place upgrade,
as described in this KB article:

If your WinXP CD-ROM does not have SP2 integrated into it, you should
install SP2 as soon as you can after the in-place upgrade, which will
reinstall the version on the CD. Depending on the age of your CD, that
could be the original WinXP, or WinXP with SP1 (or SP1a) included, or WinXP
with SP2.
