Cannot upgrade to WinXP HE

I'm trying to upgrade a Win98SE PC to XP Home Edition.
The PC is a P4 1.5GHz system with 256MB RAM and a 40GB HD (with 32GB free).
Should be a good candidate for an upgrade.
The compatibility test shows no show stoppers.

When I attempt to upgrade, I get:
Setup cannot continue. Contact Microsoft technical support
(error: 5BEFF58h)

I tried to email MS tech support, but they require the product code from the
installed OS.
Since I can't install it, I can't get the product ID.

I tried installing from the CD drive, and copying to the hard drive and
installing from there.
Same result.

Any suggestions welcome, thanks.
