rundll32.exe won't shutdown at reboot or shutdown - XP PRO

--------------------------------------------------------------------------------

I get an error message that rundll.exe is still working
and won't shutdown when I click shutdown or reboot. Only
after I click shutdown now will it proceed.

I've ran Ad-aware and cleaned the uCASE problem, but it
still gives the rundll32.exe message.

Suggestions?
