It could be a third party software. For a test, start the windows with clean boot. The following links may help. Please post back with the result.

Several Windows XP SP2 workstations on our domain are having problems with
File and Printer Sharing for Microsoft Networks.
Specifically, I put a check in the checkbox for "File and Printer Sharing
for Microsoft Networks" and after the machine restarts, the box is unchecked
again.
The Windows Firewall is OFF.
None of our group policies are doing this, if they were, it should be
affecting all our pcs.
Any suggestions?
