scandisk executing on boot, DSL problems

Hello out there,

I'm having two problems that I think might be related but
I'm not sure. Both problems have suddenly appeared in the
past week or two... things had been running fine before.
I'm running Windows XP Pro and I have DSL service using
an Actiontec external modem (connects through the
ethernet card). There is only one computer connected to
the modem. Have run a complete virus scan with latest
Norton virus definitions

Problem 1. When I turn the computer on, it doesn't seem
to be able to find the modem. No internet connection, and
I can't even get into the actiontec setup screen
(http://192.168.0.1). If I reboot the computer 2-4 times
the problem seems to resolve itself. Often (but not
always) when this problem occurs, the Ethernet light on
the modem flashes constantly as if there were traffic on
the network. (No other computers connected to the
network). The computer is setup for dual boot (98 or XP)
and I seem to have the same problem in both operating
systems, although more consistantly under XP.

Problem 2. When I boot the computer, about 50-60% of the
time it decides it needs to run scandisk (maybe it's
checkdisk in XP?) The computer has 2 hard drives and is
setup for a dual boot (XP on the D drive, 98 on the C
drive). This scandisk problem only occurs under XP, and
it only scans drive D. It doesn't find any problems and
proceeds along its merry way. The computer has been shut
down correctly each time, but it still tries to run
scandisk randomly. There doesn't seem to be any
connection between running scandisk and the DSL problem
above in terms of whether both occur on the same boot or
not, but both problems started a few weeks ago.

Any suggestions would be greatly appreciated.
