MSN Messenger 6.2 wont install

I'm having trouble installing MSN Messenger on a Windows
XP Pro SP2 machine. Windows Messenger 5 will
install/uninstall without problem.

I suspect I have a problem with publishing assemblies
during SxS installation in general... any help will be
appreciated
