Uninstall(Remove)XP from a dual boot system

I have an old PC with 2000 Pro on Partition C and XP on D. How do I
uninstall/remove Xp? Also will this affect the 2000 partition? Also how do I
deactivate XP with MS as I plan on giving the XP CD to a friend. I searched
MS knowledge base but came up with nothing on deactivating and they want to
charge me $59 for email support. I have the original CD, it is not OEM.
