Well... not really, if your XP license is installed on another machine.
When you go to activate it, and you must, the activation servers may very
well detect that you've previously activated using that key, and refuse
activation.

You should be given a chance to phone (you'll be given a number, usually
toll-free) and discuss with a person who can, if you are using that upgrade
license on one and only one machine, issue an activation code you'll have to
type in.

Otherwise, you'll need to get another license, as all XP Home and
retail/OEM/upgrade versions of Pro are licensed for single machines only.

The only exception is the Volume License version of XP Pro, which starts at
five licenses, all of which will use the same key.

hers was a new seagate hard drive with a 5 year warranty 120 gb
i only have a 40 gb hard drive

If you have a working XP install and don't care about the data on the
larger
drive, just attach it as a secondary drive, setting jumpers
appropriately.
Once installed, you can partition/format/use the disk as you see fit.

However, if you have no WIndows install or recovery CDs, you should find
a
way to make them. Check with the manufacturer of your system.

I'm still not sure what you're asking, but if your system was
originally
an
OEM version of XP, and you have a retail upgrade disk, no, this won't
work
because the retail CD will not accept the OEM install key on your
system -
and vice versa.

If that isn't what you meant, could you rephrase your question with
