Agere systems AC'97 modem problem

I have an intermittent problem with an Agere systems AC'97 modem on my Compaq
nc8000 laptop. Modem dials out fine and appears to connect to my ISP
(Earthlink), but about one out of every four times, the connection appears to
hang the computer. I'll double click on my browser and nothing will happen
(except for a little hard drive activity). I'll click on the system tray icon
and request a disconnect, but modem will not disconnect. Can't bring up the
task manager (it will flash on screen very briefly, then disappear). Trying
to log off or shut down the computer ends with the system hanging at the
"windows is shutting down" dialog box. I'm running WinXP professional with
service pack 2, default settings on the firewall, latest drivers for the
modem, and McAfee antivirus. Any ideas on how to fix this problem??? Thanks!
