Memory Dump + Network card

I have this very strange problem. I have a system here running XP Pro with
256 megs of ram.
The system has a built in network card. If I remove the network card (
uninstall the drivers ) then reinstall them the system is ok.
My Physical memory Available sits at about 70 megs. Once I reboot the system
Physical memory drops like a rock until there is about
3 megs of available memory and the system comes to a stop for the most part.
I tried disabling the built in network card in the Bios and installing a PCI
network card.
I get the exact same results. System is fine until I reboot.
Any ideas?
