Security Update for .NetFramework, Version 2 FAILS

Running XP Pro with SP3

Security Update for .NetFramework, Version 2 (KB928365) FAILS to install. I've had .Net Framework issues before where I had to uninstall all .net stuff and reinstall them in the proper order. However, I Just restored my computer from an Image that was a year old. I now have all the updates except this one. I don't have the install programs since they were deleted prior to creating the Image (a year ago). So what can I do to resolve this issue? I've tried downloading the Security Update and install it that way, but it still fails. No reason is given for the failure.
