This seems to be a problem with userinit.exe..Lets try and replace the
file from the recovery console..

Boot ur machine using XP cd..follow the on screen instructions till we
get choices for setting up Windows..

Press R to repair..
That will take u to the recovery console..
Type ur Administrator password
Now RC wud show as

C:\Windows
Now Type in
expand <CDDRIVE>:\i386\userinit.ex_ <systemroot>\system32

Basically we are expanding and copying over the userinit.exe file to ur
system root as the existing one has got corrupted...
