Problem installing SP2

SUBJECT: 3ds max
SYSTEM: P4,512 MB RAM, WINXP SP1 integrated +SP2, directx9.0c
Problem:
Last week i installesd MDS MAX 2008. I was using it without any problems
till today. This morning a problem suddenly pops up (i didn't made any
changes to system). When i try to start 3ds max, it is not starting. I
checked task manager and went to rocess tab and found that it is actually
starting but within second, exiting.
I reinstalled it. But its not working.
Then i thought its something with directx. So i tried to install directx9.0c
november 2007. But i cannot install it. The installation fails and i am
providing the error report below.

Then i tried to install older versions august 2007,july 2007. But samething
happens.
PS: I dont have any problems with other applications like Games,
GMax-brother of 3ds Max. and dxdiag tells me everythng is alright.
......But iknow somethnig is wrong...
So what should i do
QUESTION 2:
SUBJECT: installing sp2.
I currently have installed winxp sp1(integrated)+sp2 on my D drive six
months ago. Then i changed my motherboard(Intel 845GV). and had no problems..
Now i want to change the xp intallation to C drive. So i intalled winxp sp1
to c drive(now i have two XPs) and i plan to remove xp from D drive later.
Then i tried to install sp2 into C drive(before installing any drivers). I
finished it and restarted. Now problem comes. I cant boot into my XP in C
drive any more. I can see upto winxp loading screen, and then system hangs. i
rebooted again and again but no success.
The i tried SAFE MODE. When drivers are loading, system hangs when it
displays 'Mup.sys' loading(or loaded i dont remember).
So i reinstalled XP again . Thsi time i insatalled all drivers. and then
tried to install sp2. but samething happens.
All these time, My XP in D drive has no problems(Thank god!).
I installed Xp in D drive from the same Installation cd.
So at last I formatted my entire hard disk, Installed Xp in C drive and then
tried to install SP2. But same problem again.
I don.t understand why this happens
So can you help me
