Thanks you guys for all your inputs! I understand that technically I
can install XP upgrade version over an OEM Windows 2000. But in the
licensing points of view, does it allow? Since I heard that OEM is a
pretty restricted license.

If Windows 2000 is good enough, then there is no good reason
to even consider upgrading to Vista. The resource requirements
for Vista are more severe than for Windows XP and the resulting
performance hit with hardware that is 2 generations behind the
times will be obvious.

You're right. I should have said to stick with w2k until the motherboard
blows then but a new machine with Vista already up and running.
